However, OAPA retains full discretion to accept or decline any proposed OTC transaction. OAPA is under no obligation to purchase tokens offered by the team, foundation, or investors. The ability to sell to OAPA is a channel restriction — not a guarantee of liquidity.

Summary
This proposal asks the community to approve an initial six-month lockup of the Genesis Account, during which all tokens held by the team, foundation, and early investors may only be sold via over-the-counter (OTC) transactions to OAPA — not on the open market.
During the initial six-month lockup period, OAPA will be responsible for completing the agreed KPIs. Upon completion of the initial six-month(6+6) lockup period, the completion of the agreed KPIs will be assessed. Based on the KPI completion results, a second six-month lockup period will be initiated under the same arrangement.
The OTC price will be set at the full two-week trailing average market price of $OORT on Gate.io, with no discount applied.
The purpose of this proposal is to strengthen long-term alignment between Genesis stakeholders and the broader OORT community, and reinforce confidence in OORT's long-term development.
The agreed KPIs are:
Liquidity Support: OAPA will provide sufficient liquidity support to ensure that $OORT remains listed on [Gate.io] and is not delisted due to liquidity-related conditions.
Community & Device Growth: OAPA will restart community-building efforts and achieve the deployment of at least 1,000 Deimos-II within the initial six-month lockup period.
Background & Motivation
As the OORT ecosystem continues to grow, community members have increasingly emphasized the importance of long-term alignment, transparency, and shared commitment between the broader community and Genesis stakeholders, including the team, foundation, and early investors. This proposal is a community-driven initiative designed to establish additional transparency and strengthen confidence in OORT's long-term future. By implementing an initial six-month commitment period during which the agreed KPIs are to be completed, followed by a potential second six-month commitment period based on the KPI completion results, and routing any potential liquidity needs through a transparent OTC mechanism, the community can reduce uncertainty and reinforce the shared belief that OORT's value will be built over years, not months.
Proposal Details
1. Genesis Account Lockup
- The Genesis Account will be locked for an initial period of six months, beginning on a date mutually agreed by the foundation and OAPA.
- During the initial six-month lockup period, OAPA will be responsible for completing the agreed KPIs. Upon completion of the initial six-month lockup period, the completion of the agreed KPIs will be assessed. Based on the KPI completion results, the Genesis Account will be locked for an additional six months.
- During each lockup period, no tokens may be transferred out of the Genesis Account except pursuant to the OTC mechanism described below.
- The lockup should be verifiable and the Genesis Account address(es) will be published for community monitoring.
2. OTC-Only Sales for Team, Foundation, and Investors
- For the duration of each lockup period, all token sales by the team, the foundation, and investors must be executed exclusively as OTC transactions with OAPA.
- No team, foundation, or investor tokens may be sold on any centralized or decentralized exchange during either lockup period.
- OAPA will serve as the sole counterparty for these transactions.
3. OTC Pricing Mechanism
- The OTC price for each transaction will be the full trailing two-week average market price of $OORT on Gate.io at the time of the transaction.
- No discount will be applied. Insiders receive exactly the average market price — no better, no worse.
- The averaging window is the fourteen (14) calendar days immediately preceding the transaction date, calculated as [daily closing price average / VWAP — to be specified].
4. Voting Parameters
- Duration: The vote will remain open for two (2) days (48 hours).
- Participation requirement: Community members must pledge and lock $OORT for the duration of the voting period to cast their vote.
- Validity threshold: A total of 5,000,000 $OORT must be pledged and locked across all voters for the vote to be considered valid.
